When im using only directional light everything is ok. But when im adding skylighT, the more intensive skylight is - more ugly results i get. Lightmap is modulating wrong, it looks in ogre absolutly different than in rendered picture. Sure thing lighting prop is set to off. How can i fix?

Could you post a images of the resulting textures and how it is different in the viewports?
The default in max renderer is to use the Advanced Lighting process, no the created lightmap, to see the baked texture in the max renderer, set the shell material to use the baked texture for rendering
You can edit the texture scene modulation in the "Blend" section of the TextureUnit material and in the "Blend" section of the parent Pass, if you have updated it to Ogre Material

I also noticed, that sometimes when usin skylights, shadows are not rendered to textures even if all the neccesary checkboxes in rendertotexture dialog are set. I also had this prob in max 5.

To render shadows with the GI renderer, you need other lights and to activate the cast shadows option for them (other than skylight) and for the objects. For this lights you need to tune the multiply settings, or you will get an overexposed light
Skylight will not cast shadows, it will only create diffuse surfaces
If you need more quality on the shadows set its type to Raytraced

OK.Here is the formulation of problem: when using skylight or directional light separately its OK. But when using skylight+directional i got undesired results.

Could you post some images of your undesired results so we can see what you mean
And how are the lights setup, intensity multiplier, shadows, what GI settings?

It is a baking problem. In rendered picture its ok, but those lightmap files are baked in wrong way.
